# Warranty vs guarantee vs insurance: what is the difference?

How US law tells a warranty, a guarantee and an insurance contract apart, with the statutes, regulator opinions and cases that draw the line. General information, not legal advice.

## The short answer

A warranty is a seller’s promise that what it sold matches what it said, or is fit for ordinary use. A guarantee, in everyday business, is a promise of a specific remedy such as a refund; in law, a guaranty is a promise to answer for someone else’s obligation. Insurance is a promise to pay for a loss that depends on an event outside either party’s control, and selling it is regulated.

What decides which one you have is the substance of the promise, not the word on the document.

## How the law defines insurance

New York: an agreement to pay a benefit "dependent upon the happening of a fortuitous event" (N.Y. Ins. Law § 1101). California: "a contract whereby one undertakes to indemnify another against loss, damage, or liability arising from a contingent or unknown event" (Cal. Ins. Code § 22).

## Where a warranty becomes insurance

Courts ask whether risk-bearing or something else is the "principal object and purpose" of the arrangement (Transportation Guarantee Co. v. Jellins, 29 Cal.2d 242 (1946)). Three questions recur: who makes the promise, what triggers it, and whether paying for risk is the main point. New York’s regulator found a "warranty" that paid on vehicle theft was "neither a warranty nor a guaranty" (DFS OGC opinion 05-03-14).

## Why this matters for AI work

When an AI agent files, pays or submits something and gets it wrong, the customer may face a cost from someone outside the deal. Whether a vendor promise to cover that cost is a warranty, a guarantee or insurance depends on the questions above, and on the contract’s limitation of liability.
